Sharp India Limited approves name change and comprehensive object alteration for strategic diversification

Sharp India Limited, incorporated in 1985 and operating in the electronics sector, has approved significant changes to its corporate structure following a Board meeting held on July 02, 2026. The Board considered and approved the company's name change from 'SHARP INDIA LIMITED' to 'SMAART TECH SERVICES LIMITED'.

The resolutions passed during the meeting included the approval of the name alteration, modifications to the Memorandum of Association (MoA) and Articles of Association (AoA), and the adoption of a new set of AoA in line with the Companies Act, 2013. The Board also approved the preparation of financials on a Going Concern basis and sanctioned a Postal Ballot Notice for shareholders regarding these matters.

The proposed corporate changes are part of a strategic maneuver to expand revenue generation streams and diversify activities. Sharp India Limited's shares were acquired by Smart Services Private Limited, with the share purchase agreement dating back to April 14, 2026.

Scope of Alterations

The alteration of the Memorandum of Association allows the company to broaden its business objectives significantly. The original object clause has been expanded through the insertion of several new clauses under Clause III (A) and alterations to incidental objects.

These expansive objectives include:

  • Infrastructure and Project Management: Engaging in various models such as Private Public Participation (PPP), Built Operate Transfer (BOT), Built Operate Lease (BOL), and Built Operate Own and Transfer (BOOT). This encompasses projects like logistics solutions, supply chain management, data centers, server farms, and renewable energy infrastructure across solar, wind, and hydro power.
  • Healthcare and Services: Establishing facilities including hospitals, blood banks, rehabilitation centres, and diagnostic centers. The company is authorized to deal in vaccines, pharmaceuticals, medical instruments, and healthcare services.
  • Trade and Manufacturing: Engaging as a manufacturer, trader, distributor, and importer/exporter of diverse goods, ranging from agricultural products and processed foods to consumer durable goods and electronics.
  • Facility Management: Providing extensive support services for various establishments, including facility management, security solutions (like drone and escort services), canteen operations, cleaning, and waste disposal for government bodies and private entities.

The changes ensure that the Memorandum of Association no longer carries a separate clause for Other Objects, signifying a focused consolidation of business activities as the company transitions to its new identity.

Stock Price Movement

Sharp India Ltd settled on Monday at ₹117.65, edging higher after gaining 0.99%. The shares were locked into a completely flat trading range throughout the session, with the opening and closing prices remaining identical.
