Shah Alloys Board Approves Strategic Review and Monetization Options for Steel Plant and Immovable Assets
Shah Alloys Limited has approved strategic alternatives concerning its Iron & Steel Plant operations and initiated a process to monetize its land and other immovable assets, following observations regarding the plant's obsolescence. The decisions were taken by the Board of Directors at a meeting held on August 12, 2026.The Company had previously decided upon the closure of the entire Iron & Steel Plant operations located in Village Santej, Taluka-Kalol, District Gandhinagar. The Board noted that the plant and machinery were aged and the technology was obsolete, making continued operation non-competitive and costly.
In response to this strategic shift, the Board approved seeking Member approval under Section 180(1)(a) of the Companies Act, 2013. This approval is sought for two primary areas: the strategic alternatives related to the Steel Plant undertaking, and the monetization of the Company's land, buildings, and other immovable assets.
Strategic Alternatives for Steel Plant Undertaking
To ensure the optimum utilization of its Steel Plant assets, the Board has outlined a range of strategic options for the undertaking. The proposed options include induction of strategic or financial investors or technology partners, lease, relocation, sale, transfer, disposal of plant, machinery and other assets, joint ventures, strategic partnerships, technology arrangements, operating arrangements, and various commercial restructuring agreements. The Company obtained a Valuation Report covering the Plant, Machinery, and Equipment located at its Santej site. The Registered Valuer reported a Fair Market Value of ₹ 44,19,50,000/- for these assets.

| Fair Market Value | ₹ 44,19,50,000/- |
| Registered Valuer | Mr. Vatsalraj J. Dabhi |

The valuation is considered indicative for assessment and evaluation only, and not a minimum sale price or final transaction consideration. The Board noted that the Company has not yet committed to any specific purchaser, strategic investor, technology partner, lessee, or other counterparty in relation to these assets.
Monetization of Land and Immovable Assets
In addition to reviewing the Steel Plant, the Board also approved the proposal to seek Member approval for commercializing the company's land and buildings. This involves authorizing the Board to handle various transactions related to its land properties, whether currently owned or subsequently acquired. The potential modes or structures include outright sale, lease, license, development agreement, joint development arrangement, or any other legally permissible structure. The rationale behind this decision is to optimize the use of existing assets and unlock value, potentially deploying resources towards real estate projects, strategic investments, capital expenditure, or working capital needs.
While a dedicated valuation for land and buildings was not provided in the current review, it is noted that the Board will determine the property details, transaction structure, consideration, sale price, lease rentals, and all other commercial terms on a transaction-specific basis should any specific deal be pursued.
