SEBI Issues Administrative Warning to SK Minerals & Additives Ltd Over IPO Disclosure Lapse
SK Minerals & Additives Ltd, which was formerly known as SK Minerals & Additives Private Limited, has confirmed receiving an Administrative Warning from the Securities and Exchange Board of India (SEBI). The warning was issued following SEBI's examination of the company's SME Initial Public Offering (IPO).The communication, dated April 16, 2026, highlighted a lapse in the accuracy of corporate disclosures within the Offer Document. Specifically, SEBI observed that the tenure of the loan received from related parties was incorrectly disclosed in the document. The tenure was listed as 'Not Applicable' when it should have indicated 'on or before February 22, 2032.'
This non-disclosure was viewed as a deviation from the standards set forth in the SEBI (ICDR) Regulations, 2018.
SEBI utilized the warning to advise the company to exercise enhanced due diligence and to take care in the future to prevent recurrence of such disclosure lapses.
SK Minerals & Additives Limited acknowledged the observations and stated that the administrative warning does not carry any material financial impact on the company. Management confirmed that the company has taken note of the findings and will ensure enhanced diligence and compliance in all future disclosures.
