SEBI Issues Administrative Warning to OBCL Limited Over Delayed Disclosure of Intra-Promoter Dispute and Family Settlement Agreement
The Securities and Exchange Board of India (SEBI) has issued an administrative warning to OBCL Limited concerning delayed disclosures related to a family settlement agreement and an intra-promoter dispute involving the company. The regulatory action stems from the timelines surrounding events that impact promoter holdings and corporate management control. The warnings were directed following reports made by the company on May 12, 2026, regarding these material matters. These developments include the filing of a First Information Report (FIR) on November 11, 2025, filed by Ms. Sonal Agarwal. The FIR alleged the fraudulent transfer of shares held by herself, Mr. Manoj Agrawal, and Ms. Banarsi Devi Agrawal.
Subsequent to the FIR, a Family Settlement Agreement was executed on December 16, 2025. This agreement involved the aggrieved individuals, collectively referred to as the "First Party," and a group of promoters, identified as the "Second Party." The settlement directly affects management and control of the listed entity by altering promoter holdings.
SEBI noted that OBCL Limited failed to make timely disclosures concerning both the Family Settlement Agreement and the dispute/FIR. The company is cited for delaying the disclosure of the Family Settlement Agreement by approximately five months, and the dispute/FIR by approximately six months. Both matters were disclosed on May 12, 2026, only after SEBI issued an advisory.
The regulatory body stated that these failure to disclose in a timely manner constituted a serious violation regarding intra-promoter disputes and family settlements. OBCL Limited has been warned and advised to improve compliance standards to prevent recurrence of such instances. The company was also directed to take corrective steps and disseminate this communication and the actions taken before its Board of Directors and on the stock exchanges.
