Sainik Finance & Industries Ltd. Announces Inter-se Transfer of Shares Among Promoters
Sainik Finance & Industries Limited announced a proposed inter-se transfer of shares amongst members of the Promoters/Promoters Group. The transfer involves an acquisition of 2,503,982 equity shares, representing 23.01% of the company’s total share capital.The acquisition will occur via an off-market transaction at a price of Rs. 40.62 per share. The transfer is expected to be completed on or after March 30, 2026.
According to a filing, the rationale for the transfer is an inter-se transaction among promoter group members without a change in control. The aggregate promoter/promoters' group shareholding will remain unchanged.
The acquisition is exempt under Regulation 10(1)(a)(ii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. An independent registered valuer has determined a price of Rs. 38.83 per share.
