Remsons Industries Limited Announces Sale of Astro Motors Stake and Acquisition of Remsons Edge Technologies Shares​

Remsons Industries Limited announced on March 24, 2026, that its Board of Directors approved the sale of its entire stake in Astro Motors Private Limited (AMPL), an associate company. The sale involves 62,500 (35.86%) equity shares with a face value of Rs. 10 each, for a lump sum consideration of Rs. 10,00,00,000. Completion of the sale is expected by March 31, 2026. Following the sale, AMPL will cease to be an associate of Remsons Industries Limited. The buyers are PRATIK HASMUKH SHAH HUF, acting through its Karta, Mr. Pratik Hasmukh Shah. No buyers belong to the promoter, promoter group, or group companies.

Additionally, the Board approved the acquisition of the remaining 73,500 (49%) equity shares with a face value of Rs. 10 each of Remsons Edge Technologies Private Limited (RETPL), a subsidiary company, at a consideration of Rs. 7,35,000. This acquisition will increase Remsons Industries Limited’s shareholding in RETPL from 51% to 100%, making it a wholly owned subsidiary. The acquisition is expected to be completed by March 31, 2026. The consideration for these shares will be paid in cash.

Remsons Edge Technologies Private Limited is engaged in the manufacturing of Brake Slack Adjuster, Air Brake components of Wagons, Defense Brake and Steering Systems for Battel Vehicle Industries. It was incorporated on May 28, 2025.
