The company intends to raise funds through the issuance of up to 8,33,331 fully paid-up Equity Shares to a consortium of Promoter Group and Non-Promoter Allottees in a preferential issue. The total aggregate consideration for this round is set at up to Rs. 15,00,00,000/- (Rupees Fifteen Crore only). These shares are offered at an issue price of Rs. 180/- per Equity Share, carrying a premium of Rs. 170/-.

In addition, the Board approved a plan for issuing up to 3,97,377 Convertible Warrants ('Warrants') on a preferential basis. This initiative aims to raise funds aggregating up to Rs. 7,15,27,950/-, with the warrants offered at an issue price of Rs. 180/- per warrant.

The warrants are designated for WSG Co., Ltd., a Non-Promoter from South Korea. The total consideration for this issuance is USD 7,50,000, which equates to Rs. 7,15,27,950/- after converting the currency using the RBI Reference Rate of 1 USD = Rs. 95.3706 on July 31, 2026.

Governance and Operational Updates​

The upcoming AGM will address critical changes in the company's board composition and operational matters:

  • Director Appointments: The notice proposes the appointment of Shri Ankur S. Mehta (w.e.f. June 1, 2026) as an Independent Director for a five-year term. This move addresses the resignation of Shri Mahabir Prasad Sharma due to health issues.
  • Appointment of New Director: To fill a vacancy following the resignation of Shri Vishwambhar C. Saraf (due to advanced age), the Board proposed appointing Shri Ritvik Saraf as Promoter, Non-Executive, Non Independent Director effective August 1, 2026.
  • Auditor Ratification: Members are sought to ratify the remuneration payable to M/s Kejriwal & Associates, Cost Accountants, for the financial year 2026-27, amounting to Rs. 90,000/-.
  • Related Party Transactions: The AGM is requested to approve a framework for all material related party transactions (including modifications or alterations) that do not exceed Rs. 20 Crores per financial year. These transactions concern the purchase and sale of steel goods and short-term loans with Remi Process Plant and Machinery Limited, involving several senior directors, and are deemed to be on an arm's length basis.

Financial Performance Review (FY 2025-2026)​

The company reported improved financial performance in the fiscal year ended March 31, 2026, amidst a focus on value-added products.

  • Revenue: Gross Turnover/Total Income reached Rs. 14,291.88 Lakhs, up from Rs. 13,907.50 Lakhs in the preceding year.
  • Profitability: The company registered a net profit of Rs. 274.25 Lakhs, an increase compared to the previous year's profit of Rs. 267.19 Lakhs. Profit before Finance Cost stood at Rs. 911.22 Lakhs (up from Rs. 839.93 Lakhs).
  • Production: Production volume increased to 3,320.86 tons, up from 3,045.14 tons.
