Refex Industries Ltd has completed its Board of Directors meeting, during which it reviewed and approved critical operational documents for the fiscal year 2025-26. The board also convened the details for the company's forthcoming 24th Annual General Meeting (AGM).

The Board of Directors considered and sanctioned the annual report covering FY 2025-26. This comprehensive report includes Audited Financial Statements, the Board’s Report, Management Discussion and Analysis Report, Corporate Governance Report, Business Responsibility and Sustainability Report, and the Corporate Social Responsibility Report.

24th AGM Details and Shareholder Deadlines​

The company announced that its 24th Annual General Meeting will be held on Friday, July 31, 2026, at 11:00 A.M. (IST). The meeting will be conducted through Video Conferencing (VC) or Other Audio Visual Means (OAVM).

To ensure all shareholders are properly accounted for regarding voting and dividend entitlement, the Board set two key dates:

  • Cut-Off Date: Friday, July 24, 2026. This date will be used to ascertain the names of members entitled to attend and vote at the AGM.
  • Record Date: Friday, July 24, 2026. Members listed on this date will be eligible to receive the final dividend upon its declaration at the AGM. The declared dividend is scheduled for payment on or before Saturday, August 29, 2026.

The remote e-Voting facility, which allows shareholders to cast votes online and during the e-AGM process, is set to run during a specific period.

The company decided upon the reallocation of unutilized proceeds totaling ₹19.06 crore out of a total preferred issue amounting to ₹219.69 crore, recommending this reallocation for shareholder approval at the 24th AGM.

Furthermore, Ms. Mehak Gupta, a practicing company secretary (FCS-10703, CP No. 15013), has been appointed as the Scrutinizer. She will be responsible for scrutinizing the remote e-Voting process and the voting conducted during the 24th AGM to ensure a fair and transparent process.

The Notice of the 24th AGM, along with the Annual Report for FY 26, will be sent exclusively through electronic mode to eligible shareholders registered with the company or Depositories/Depository Participants. The detailed notice will outline procedures for registering or updating email addresses, casting votes via remote e-Voting and during the AGM, and attending the meeting through VC / OAVM.
