Ramkrishna Forgings Announces Cessation of Subsidiaries Following Amalgamation Scheme​

Ramkrishna Forgings Limited announced on March 26, 2026, that two of its subsidiaries have ceased to exist following a Scheme of Amalgamation approved by the National Company Law Tribunal, Kolkata Bench. The Scheme involved Mal Metalliks Private Limited, a step-down wholly-owned subsidiary, and Multitech Auto Private Limited, a wholly-owned subsidiary, merging with Ramkrishna Casting Solutions Limited, also a wholly-owned subsidiary.

The Scheme, initially announced on February 28, 2026, was formally approved by the NCLT on February 27, 2026, under Section 230 to 232 of the Companies Act, 2013. A certified copy of the order was filed with the Registrar of Companies, Kolkata on March 25, 2026, marking the effective date of the Scheme as March 25, 2026. The Appointed Date for the amalgamation is January 1, 2024.

As a result of the Scheme's effectiveness, Mal Metalliks Private Limited and Multitech Auto Private Limited have been dissolved without winding up, and are no longer considered subsidiaries of Ramkrishna Forgings Limited.
