Quantum Digital Vision Approves Key Appointments and Significant Increase in Authorized Share Capital​

Quantum Digital Vision (India) Ltd. announced several key resolutions following its Board of Directors meeting held on July 25, 2026. The board transacted matters including approving the Annual General Meeting (AGM) for the Financial Year 2025-26 and making critical appointments regarding company leadership, audit structure, and capital expansion.

The board approved the convening of the AGM, which is scheduled to be held on August 21, 2026, at 10:00 A.M. at the Registered Office of the Company in Vile Parle (West), Mumbai. The directors also approved the Board's Report for the financial year ended March 31, 2026, along with all other applicable annexures, and approved the Notice convening the AGM.

Leadership and Governance Appointments​

Key appointments made by the board included the appointment of Mrs. Priyanka Pradyumna Tiwari as an Additional Director (Non-Executive Woman Director), effective from July 25, 2026. Her appointment is subject to the approval of the Members at the ensuing Annual General Meeting.

The board approved the alteration of the Memorandum of Association by expanding the Main Object Clause, allowing the company to undertake additional business activities subject to statutory approvals. Furthermore, proposals were approved regarding the formation, acquisition, promotion, and investment in Subsidiaries, Associate Companies, Joint Ventures, Special Purpose Vehicles, and/or Limited Liability Partnerships, pending Member approval at the AGM.

Regarding financial structuring, the board approved the creation of charges and encumbrances over the company's movable and/or immovable properties and assets to secure borrowings. The directors also greenlit proposals concerning investments, granting loans, providing guarantees, and offering securities in excess of specified limits under Section 186 of the Companies Act, 2013. Similarly, the proposal to borrow monies exceeding stipulated limits was approved, subject to Member approval at the AGM.

Capital Structure Expansion​

A major resolution passed by the board involved the increase in the Authorized Share Capital of the Company. The authorized capital was increased from Rupees Twenty-Five Crores Only (25,00,00,000) to Rupees One Hundred Crores Only (100,00,00,000). This expansion is subject to approval by the Members at the AGM and receipt of all requisite statutory approvals.
