Procal Electronics Approves EGM and Appoints New Statutory Auditor​

Procal Electronics India Ltd, following its Board of Directors meeting held on July 10, 2026, approved several key corporate actions, including convening an Extraordinary General Meeting (EGM) and finalizing the appointment of a new statutory auditor.

The Board reviewed and sanctioned the notice for the upcoming EGM of the company members. This general meeting is scheduled to take place on August 3, 2026, at 12:00 PM, utilizing Video Conferencing (VC) or other Audio Visual Means (OAVM). The Board also approved the draft Explanatory Statement which forms part of the EGM notice.

In a significant administrative update, the company approved the appointment of M/s. SSRV & Associates, Chartered Accountant (Firm Registration No. 135901W), as the Statutory Auditors. This appointment addresses a casual vacancy resulting from the resignation of M/s. PAMS & Association, Chartered Accountants. The appointed auditors will hold office starting from the conclusion of the EGM until the end of the ensuing Annual General Meeting. The remuneration for the new auditors is subject to being fixed by the Board of Directors.

Furthermore, the Board authorized Mr. Mahendra Kumar Bothra, Managing Director, to issue the notice of the EGM to all members and to execute any necessary acts or deeds related to convening the Extraordinary General Meeting. While the matter regarding the appointment of a Company Secretary was scheduled on the agenda, it was ultimately withdrawn for consideration at this Board outcome meeting.
