NDL Ventures Limited, formerly known as NTDIGITAL LIMITED, is set to absorb Hinduja Leyland Finance Limited under a proposed Scheme of Merger. The merger process received an interim order from the National Company Law Tribunal (NCLT), confirming the admission and scheduling of the petition for both companies.

The NCLT issued the Interim Order on August 13, 2026, regarding the Scheme of Merger by Absorption of Hinduja Leyland Finance Limited into NDL Ventures Limited. This move involves the respective shareholders of both organizations.

The Tribunal's action relates to a Petition filed under Sections 230 to 232 of the Companies Act, 2013, concerning the proposed consolidation of the two companies. The petition was admitted by the Hon'ble NCLT.

Following the ruling, the NCLT fixed September 18, 2026, as the date for the next hearing in the matter of the merger.

NDLVENTURE Stock Price Movement​

On Thursday, NDL Ventures Limited shares rallied as the stock settled at ₹119.01 after closing up 2.95% in the session. The equity traded within an intraday range of ₹116 to ₹125, with a total volume recorded of 4,535 shares.
