National Company Law Tribunal Sanctions Amalgamation Scheme Involving R Systems International Limited
The National Company Law Tribunal (NCLT), New Delhi Bench, has sanctioned a composite scheme of amalgamation involving R Systems International Limited. The order, issued on April 16, 2026, approves the merger of Velotio Technologies Private Limited and Scaleworx Technologies Private Limited with R Systems International Limited.The tribunal sanctioned the composite scheme of amalgamation under Sections 230 to 232 of the Companies Act, 2013. Velotio Technologies Private Limited and Scaleworx Technologies Private Limited are jointly referred to as the Transferor Companies, while R Systems International Limited is the Transferee Company.
The scheme is slated to become effective only upon the fulfillment of specific conditions detailed in Clause 22 of the scheme itself.
R Systems International Limited previously initiated discussions regarding this amalgamation, issuing letters on September 11, 2024, February 28, 2025, April 01, 2025, and May 23, 2025.
