The company's operations consist solely of construction and project activities. The financial results reflect the inherent seasonality of the infrastructure business, where margins can fluctuate based on cost accrual and income recognition.

Regarding non-current investments as of June 30, 2026:
  • MBL Projects Ltd.: Non-Current Investment stands at Rs. 3,984 lakhs. The management is confident that the realizable amount from claims filed regarding cancelled/terminated projects exceeds the carrying value, considering contractual tenability and legal advice.
  • MBL Highway Development Company Limited (MHDCL): The investment amounts to Rs. 5,110 lakhs. This relates to a concession agreement that was terminated by the Authority in November 2016. Despite pending legal proceedings for dispute adjudication, management remains confident about the realizable amount being higher than the carrying value.
  • Suratgarh Bikaner Toll Road Company Private Limited (SBTRCPL): The investment amounts to Rs. 18,505 lakhs. SBTRCPL is currently under Corporate Insolvency Resolution Process (CIRP).

Claims and Risk Management

The company has recognized claims related to cost overruns across various projects, which stem from client responsibility delays, project suspension, design deviations, and scope changes. The realization of these claims is assessed based on contractual terms, historical experience, and legal opinion.

Audit Observations

Auditors noted several key matters concerning the financial results:
  • Insolvency Resolution: Notes related to SBTRCPL (which is under CIRP) confirm that the resolution plan submitted by the company was being evaluated by the Committee of Creditors following the admission into CIRP on December 1, 2025.
  • Project Disputes: For MHDCL and MSPIL, ongoing legal and arbitration proceedings relate to terminated concession agreements. Provisions for claims have been made based on conservative accounting principles, though these amounts are not currently acknowledged as debt.
