MAS Financial Services Limited has announced the successful allotment of senior secured non-convertible debentures amounting to INR 150,00,00,000 through a private placement. The allotment was made on July 27, 2026, following the outcome of its Finance Committee meeting.

The company allotted 1,50,000 rated, listed, senior, secured, redeemable, transferable, taxable, non-convertible debentures (NCDs). Each debenture has a face value of INR 10,000, making the aggregate nominal value INR 150 Crore.

CARE Ratings Limited granted "AA-/Stable" rating to the newly issued Debentures.

Security and Default Provisions​

The Debentures are secured by a first ranking exclusive and continuing charge. This charge covers certain identified book debts or receivables of the company, including loan receivables and receivables from any investments made by MAS Financial Services Limited. The value of these Hypothecated Assets must be at least 1.10 times the value of the outstanding amounts in respect of the Debentures at all times until they are fully redeemed.

The transaction documents govern the rights and privileges of the debenture holders. Should a payment default occur, additional interest of 2 percent per annum over the prevailing Interest Rate will be payable on the defaulted amounts from the date of the default until the default is cured or the Debentures are redeemed.
