This investment is part of a strategic move involving the establishment of a Group Captive Power Plant in Punjab, India.Neon Hybren Private Limited ('Neon') is developing a grid-connected photo voltaic groundmounted captive power plant in Punjab, intended to supply power to Mahindra & Mahindra Ltd on a captive basis. To comply with the Electricity Rules 2005, the Company is required to hold at least 26% of the share capital of Neon to qualify as a captive user.
Neon is structured as a step-down subsidiary of Mahindra & Mahindra Ltd. Specifically, Neon is a wholly owned subsidiary of Mahindra Susten Private Limited ('MSPL'), which in turn is a subsidiary of Mahindra Holdings Limited ('MHL'), and MHL is a wholly owned subsidiary of Mahindra & Mahindra Ltd.
On April 9, 2026, the Company approved acquiring the 26% stake through one or more tranches and subsequently executed a Share Subscription and Shareholders Agreement ('SSSHA') with Neon and MSPL.
