The Board of Directors of Mahindra & Mahindra Limited has approved a scheme for the merger by absorption of its wholly owned subsidiary, Mahindra Investment Company (Mauritius) Limited (MICML), into the parent company. The move is aimed at streamlining the group structure and optimizing operational efficiencies across the conglomerate.

The merger was sanctioned by the Board of Directors during a meeting held on July 30, 2026. Under the proposed scheme, MICML will be absorbed by Mahindra & Mahindra Limited (M&M).

Key Features of the Merger Scheme​

The appointed date for the commencement of the merger is set for the opening business hours of April 1, 2026, subject to any directions or approvals from the National Company Law Tribunal (NCLT) or any other appropriate authority.

Upon the scheme becoming effective, the entire business and undertaking of MICML will stand transferred to Mahindra & Mahindra Limited. Since M&M holds all shares of the Transferor Company (MICML), the shares held by M&M in MICML will be cancelled upon the merger's effectiveness, without any issuance of new shares or payment of consideration by M&M.

The scheme ensures that the rights and interests of the shareholders and creditors of both companies remain unaffected. The transaction is expected to streamline operations by reducing duplication across multiple entities and countries.
