Mahindra & Mahindra Limited has announced the successful incorporation of its joint venture partner, Mahindra Manulife Insurance Limited (MMIL). This move establishes a new entity dedicated to providing life insurance solutions in the Indian market.

The incorporation of MMIL, which has received its Certificate of Incorporation from the Ministry of Corporate Affairs on May 29, 2026, marks a key step in the strategic partnership between Mahindra & Mahindra Limited and Manulife Holdings (Bermuda) Limited.

The venture is structured as a 50:50 Joint Venture. The business of MMIL will focus on the life insurance sector, offering a range of services including long-term savings and protection products. The partnership aims to leverage Mahindra's strong presence across India and Manulife's global expertise to build a digitally led insurer.

The company intends to address India's protection gap by offering holistic, need-based financial solutions. MMIL's strategy involves combining Mahindra's extensive distribution reach with Manulife's strengths in product innovation, underwriting, and agency-led distribution, with a specific focus on the rural and semi-urban markets alongside urban customers.

Financial Structure of MMIL​

MMIL has been established with an authorized and paid-up capital of Rs. 1 crore, comprising 10,00,000 equity shares of Rs. 10 each. Mahindra & Mahindra Limited and Manulife Holdings (Bermuda) Limited are the founding partners, each subscribing to 5,00,000 equity shares of Rs. 10 each. This subscription aggregates to Rs. 50 Lakh from each partner.

The shareholding structure confirms that Mahindra & Mahindra Limited will hold a 50% stake in MMIL.
