Specifically, the acquisition entails taking 42.5% of the equity share capital of Maple Infra InvIT Investment Manager Private Limited (Maple IM). It also involves securing 40.0% of the equity share capital of Maple Highway Project Management Private Limited (Maple PM). Furthermore, the proposal includes acquiring up to 37.5% of the units of Maple Infrastructure Trust.

These three components—the IM Transaction, the PM Transaction, and the Units Transaction—collectively form the proposed transaction. The detailed official order of the Commission is expected to follow shortly.

Profile of the Acquirer and Target Entities​

The acquirer, MAIF 4 Investments India 2 Pte. Ltd., is identified as a newly incorporated investment vehicle. It is wholly owned by the Macquarie Asia-Pacific Infrastructure Fund 4, whose ultimate controlling person is Macquarie Group Limited.

Maple Trust serves as the primary infrastructure investment trust, registered under the Indian Trusts Act, 1882. Its business operations are carried out through special purpose vehicles. These vehicles are primarily engaged in the core business of owning and operating road assets through government concessions.

The investment structure utilizes specialized entities. Maple IM functions as the investment manager for the trust, while Maple PM acts as the project manager, providing operational oversight to the infrastructure assets.
