Corporate Governance and Personnel Appointments​

The Board Meeting covered several critical decisions regarding management structure and incentives:

  • Director Re-appointment: Mr. Deepak Mathur was re-appointed as a Whole Time Director for a further term of three years, effective from February 19, 2027, until February 18, 2030. Mr. Mathur possesses 44 years of experience in manufacturing, project and execution and engineering operations.
  • Remuneration Payments: The board approved the payment of remuneration to Mr. Ajay Virmani, Managing Director, effective from April 1, 2027. It also approved payments to Mr. Madhav Dhir, Whole Time Director, effective from April 1, 2027.
  • Management Remuneration: The limit for managerial remuneration payable to the Managing Director, and both directors of the company was increased, subject to members’ approval in the ensuing Annual General Meeting (AGM).

Employee Stock Option Scheme Approved​

The Board considered and approved the Lords Chloro Alkali Employee Stock Option Scheme - 2026. Under this scheme, a maximum of 1,000,000 Options may be granted, which are convertible into an equal number of Equity Shares having a face value of Rs. 10/- each. The scheme will be administered by the Nomination and Remuneration Committee and implemented through a direct route for eligible employees via fresh allotment from the Company.

To facilitate the implementation of this Scheme, M/s Corporate Professionals Capital Private Limited was approved for appointment as a Category I Merchant Banker.

Operational and Financial Structural Changes​

The company made several key changes related to its operational structure and financial capabilities:

  • RTA Change: The Registrar and Share Transfer Agent (RTA) has been changed from M/s Alankit Assignment Ltd to M/s Beetal Financial & Computer Services (P) Limited.
  • Credit Limits: The board approved an increase in the borrowing limit up to Rs. 500.00 Cr, and the creation or modification of a mortgage and/or charge over the moveable and immoveable properties of the Company up to Rs. 500 Cr.

The Notice of the 47th Annual General Meeting (AGM) is scheduled for Friday, September 11, 2026.

LORDSCHLO Stock Price Movement​

On Monday, shares of Lords Chloro Alkali Limited rallied by 7.35%, settling at ₹157.86 after surging over ₹10.96 during the session. The stock traded within a narrow intraday range, hitting a low of ₹150.09 but finishing well short of its day high of ₹162.46, with 135,332 shares traded.
