Latent View Analytics Reports Delay in Acquisition of Remaining Equity Stake in Decision Point Private Limited​

Latent View Analytics Limited has provided an update regarding the acquisition of equity share capital in Decision Point Private Limited, noting a delay in securing the remaining stake despite previously completed tranches of the purchase.

The company is pursuing the acquisition of 100% of the equity share capital of Decision Point Private Limited under the terms of a Share Purchase Agreement (SPA) and Shareholders Agreement (SHA). The acquisition process has been conducted through multiple tranches, which commenced with Board approval for the purchase in March 2024.

As reported previously by Latent View Analytics, the company had successfully completed Tranche 1, acquiring 70% of the shares. This was followed by the completion of Tranche 2 on June 2, 2025, which secured an additional 10%, bringing the aggregate holding to 80% of the diluted equity share capital of Decision Point Private Limited. The remaining 20% stake is yet to be acquired.

A material update concerning the acquisition involves a delay in purchasing the remaining equity stake beyond the initially indicated timeline. This holdup stems from a disagreement between the parties regarding the computation of the consideration payable to the selling shareholders, as stipulated in the SPA, and differing interpretations of specific clauses within the agreement governing the payment calculation.

The parties are currently engaged in discussions aimed at finalizing the consideration payable in accordance with the established SPA framework.

Latent View Analytics noted that this matter was disclosed in the financial results for the financial year ended March 31, 2026, and included in the Auditor's report under the 'Emphasis of Matter' section. The consequential financial impact of the acquisition will be recognized in the company's financial statements upon the final resolution of the aforementioned matters.
