Lambodhara Textiles Announces Financial Results, Dividend Recommendation, and Key Corporate Appointments​

Lambodhara Textiles Limited announced the outcomes of its Board Meeting held on May 30, 2026. The Board approved the audited financial results for the quarter and the year ended March 31, 2026, and recommended a dividend payment for the financial year. The Board also confirmed the reappointment of key auditors, internal auditors, and directors, and announced a change in its Registrar to an Issue and Share Transfer Agent (RTA).

Financial Results and Dividend Recommendation​

The Company released its audited financial results, which include the Statement of Assets and Liabilities, Statement of Cash Flows, and Segment reports, for the quarter and year ended March 31, 2026. The statutory auditors issued an unmodified audit opinion on the financial results for the period.

Following the review of the results, the Board of Directors recommended a dividend of Re.0.50 per equity share. This dividend represents 10% of the face value of Rs.5/- per share for the financial year ended March 31, 2026. The payment of this dividend is subject to approval by the shareholders at the ensuing Annual General Meeting.

Governance and Appointments​

The Board meeting also addressed several corporate governance matters, including the reappointment of various professionals and the change of the RTA.

Audit and Internal Auditors:
The Board approved the reappointment of M/s. C.S. Hanumantha Rao & Co., Cost Accountants, for the financial year 2026-27 as the Cost Auditors. Additionally, the Board approved the reappointment of Mrs. K.V. Anandhi, Chartered Accountant, as the Internal Auditor for the financial year 2026-27.

RTA Appointment:
For commercial and administrative reasons, the Board approved the appointment of Cameo Corporate Services Limited as the new Registrar to an Issue and Share Transfer Agent (RTA). The existing RTA, MUFG Intime India Private Limited, will continue to provide RTA services until the electronic connectivity is successfully migrated to Cameo.

Director Reappointments:
The Board recommended the reappointment of three Whole-Time Directors, pending shareholder approval at the Annual General Meeting:

  • Mr. Balu Narayanasamy: Re-appointed as Whole-Time Director for a further period of 3 years, effective July 11, 2026.
  • Mrs. Bosco Giulia: Re-appointed as Whole-time Director for a further period of 3 years, effective September 28, 2026.
  • Mr. Nishanth Balu: Re-appointed as Whole-time Director for a further period of 3 years, effective December 7, 2026.
