Lactose India Ltd. Holds NCLT-Convened Meeting​

Lactose India Ltd. held a meeting of its equity shareholders on Saturday, March 28, 2026, starting at 10:30 A.M. and concluding at 10:51 A.M. The meeting was conducted electronically via video conferencing or other audio-visual means.

The meeting was convened under an order dated February 12, 2026, passed by the National Company Law Tribunal (NCLT) Ahmedabad Bench, to consider and approve a scheme of amalgamation between Vitanosh Ingredients Private Limited and Lactose (India) Limited, along with their respective shareholders.

Mr. Laxman Madnani, a member appointed by the NCLT, chaired the meeting. Shareholders were provided with a facility for remote e-voting, which was available from March 25, 2026, at 09:00 A.M. IST to March 27, 2026, at 05:00 P.M. IST, with an additional 15-minute electronic voting facility during the meeting.

Mr. Arjun Lakhanpal, Advocate, served as the Scrutinizer for the e-voting process. Shareholders who registered as speakers were given the opportunity to ask questions, which were answered by Mr. Atul Maheshwari, Managing Director.

The results of the vote will be reported to the NCLT Ahmedabad Bench and will be made available on the company’s website www.lactoseindialimited.com and the BSE website www.bseindia.com on or before March 30, 2026.
