The proposed transaction involves Opal Bidco acquiring full ownership of STT GDC from multiple investors, including Ruby Asia Holdings II Pte. Ltd., Singtel Interactive Pte. Ltd., Sunstone Investment Pte. Ltd., and One Hundred And Thirty First Investment Company - Sole Proprietorship LLC (MIC Entity). The CCI’s approval formalizes the consolidation efforts within this critical industry segment.

Understanding the Key Entities Involved​

Opal Bidco is a Special Purpose Vehicle (SPV) that is indirectly wholly owned by investment funds, vehicles and/or accounts advised and managed by KKR. Similarly, Opal Bidco represents one of the strategic players driving this acquisition.

Ruby Asia Holdings II Pte. Ltd., another key participant in the transaction, is an SPV that is indirectly wholly owned by investment funds advised and managed by various subsidiaries of KKR & Co. Inc. Singtel Interactive Pte. Ltd. provides input to the deal structure.

The remaining parties include Sunstone Investment Pte. Ltd., a Singapore-incorporated SPV holding investments, and the MIC Entity, which is an indirect wholly owned subsidiary of Mubadala Investment Company PJSC (Mubadala).
