Kirloskar Ferrous Industries Reports NCLT Order on Merger of OEPL and Adicca Energy​

Kirloskar Ferrous Industries Ltd (KFIL) has reported on the outcome of the hearing before the National Company Law Tribunal (NCLT) concerning the Scheme of Arrangement and Merger by Absorption. The scheme involves the merging of Oliver Engineering Private Limited (OEPL) and Adicca Energy Solutions Private Limited (AESPL) into Kirloskar Ferrous Industries Ltd.

The Company Petition was originally filed before the NCLT, Mumbai, concerning the absorption of OEPL and AESPL, which are wholly owned subsidiaries. Following a hearing held on April 9, 2026, the NCLT passed an Order, which was uploaded on April 16, 2026.

The NCLT Order directed several key steps to move the merger process forward. The directives included:
  • Issuance of notices to statutory and regulatory authorities regarding the Company Petition and the related scheme documents.
  • Admission of the Company Petition for hearing and final disposal on May 15, 2026.
  • Publishing the notice of the hearing in newspapers, as stipulated by relevant rules.
  • Issuing notices to statutory and regulatory authorities informing them of the hearing date.

The Petition, cited as C.P.(CAA)/46(MB)2026 in C.A.(CAA)/23(MB)2026, involved the three parties: Oliver Engineering Private Limited (Petitioner Company No. 1), Adicca Energy Solutions Private Limited (Petitioner Company No. 2), and Kirloskar Ferrous Industries Limited (Petitioner Company No. 3).

The Tribunal’s directions established a clear timeline for the next phase of the scheme. The Petition was consequently admitted and fixed for hearing and final disposal on May 15, 2026.
