Ganesh Infraworld Limited holds a 60% stake in M/s. Kandoi Transport Limited. The subsidiary’s Board authorized the issuance and allotment of fully paid-up Bonus Equity Shares in the ratio of 3:1. The action was subsequently approved by the shareholders of M/s. Kandoi Transport Limited at their Annual General Meeting on June 13, 2026. The bonus issue involves capitalization of free reserves and alters the face value of the shares from Rs. 100 to Rs. 10 per share.

The Board of Directors has also authorized the Company Secretary of M/s. Kandoi Transport Limited to execute all necessary corporate actions required for the allotment, including crediting the shares to eligible shareholders and completing statutory compliances.

Regarding the parent company's interest, it was clarified that this bonus equity share allotment pertains solely to the subsidiary's share capital. The move will not result in any change in Ganesh Infraworld Limited’s existing equity interest or percentage shareholding in Kandoi Transport. Furthermore, the allotment does not require additional investment or cash outflow from M/s. Ganesh Infraworld Limited and is not expected to impact the capital structure, earnings per share, or other securities of the company.
