Jupiter Infomedia Announces Leadership Changes Following Acquisition​

Jupiter Infomedia Limited announced leadership changes on March 26, 2026, following an acquisition by Arix Capital Limited and Mrs. Kajal Gopal Baldha. The changes mark the completion of a share purchase agreement dated April 9, 2025, and subsequent open offer, resulting in the Acquirers holding approximately 51.00% of the company's voting share capital.

Resignations and Change of Control

The Board of Directors acknowledged the resignations of Umesh Vasantlal Modi (Chairman and Managing Director), Manisha Umesh Modi (Whole-Time Director and CFO), Kusumben Vasantlal Modi, and Aishwarya Umesh Modi, effective March 26, 2026. These resignations signify that the individuals no longer have direct or indirect control or management over the company's affairs.

New Appointments

The Board approved the appointment of Viren Bakraniya (DIN: 10931691) as an Additional Director (Executive) and Managing Director for a term up to five years, effective March 26, 2026. Subject to shareholder approval. Mrs. Kajal Baldha (DIN: 07406583) was also appointed as an Additional Director (Non-Executive and Non-Independent), effective March 26, 2026. Mr. Bakraniya has also been designated as Chief Financial Officer (CFO).

The company confirmed that Viren Bakraniya and Mrs. Kajal Baldha are not debarred from holding the office of director by any regulatory authority.

Reclassification of Promoters

The Board approved the request from Umesh Vasantlal Modi, on behalf of the promoters, to reclassify them from the "Promoter /Promoter Group Category" to the "Public" category.
