JSW Energy Receives Observations from BSE and NSE Regarding Scheme of Arrangement with GE Power India Limited​

JSW Energy Limited announced it has received observation letters from the BSE Limited and the National Stock Exchange of India Limited (NSE) regarding the Scheme of Arrangement between GE Power India Limited and JSW Energy Limited. The observations, dated April 1, 2026, were issued as required under Regulation 37 and 59A of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The company received the observation letter with "no adverse observations" from BSE and a “No objection” letter from NSE.

The Scheme remains subject to receipt of applicable regulatory and other approvals.

According to a communication from the BSE, the entity must ensure disclosure of details of ongoing adjudications, recovery proceedings, prosecution initiated, and enforcement actions against the company, its promoters, and directors. The entity must also ensure that financials considered for valuation reports are not older than six months.

The NSE's observation letter, referencing a communication from SEBI, highlighted similar requirements, including disclosure of all pending actions against the entities involved, a valuation report, and projected financials. The observation letters are valid for six months from April 1, 2026.
