Inox Green Energy Services Approves Up To Rs 600 Crore Fund Raising via Board Resolution​

Inox Green Energy Services Limited, which was previously known as Inox Wind Infrastructure Services Ltd., announced that its Board of Directors has approved a significant fundraising initiative. The resolution aims to raise funds aggregating up to Rs 600 Crore through various financial instruments and methods.

The approval encompasses the authorization to raise capital in three defined tiers: a base issue size of up to Rs 400 Crore, supplemented by a green shoe option valued at up to Rs 200 Crore. The company’s Board has granted its absolute discretion to determine appropriate terms and conditions for this fund raise while ensuring compliance with all necessary statutory approvals.

The fundraising can be executed through the issuance of various securities to cash, including equity shares, preference shares, convertible debentures, non-convertible debentures (with or without warrants), other equity based securities, or any combination thereof. The intended methods for raising these funds include preferential allotment, private placement, qualified institutions placement (QIP), or a mix of the above.

Following the approval of the fund raise by the Board, the company has also authorized two key actions. First, the Directors approved the notice convening an Extra-Ordinary General Meeting (EGM) to seek shareholder approval for the proposed fundraising. Second, the IGESL Committee of the Board of Directors for Operations was authorized to determine the specific terms and conditions of the planned fund raise.

The board meeting concluded on July 22, 2026, after commencing at 3:30 P.M.
