Info Edge Subsidiary Transfers Stake in Shopkirana and Makes Primary Infusion into TIPL​

Info Edge (India) Ltd has announced a significant corporate transaction involving its wholly-owned subsidiary, Startup Investments (Holding) Limited (SIHL). SIHL successfully transferred its entire stake in Shop Kirana E Trading Private Limited to Trustroot Internet Private Limited (TIPL) and subsequently made a primary infusion investment into TIPL.

The transfer involved 60,673 shares of Shopkirana held by SIHL, which represented 26.14% on a fully converted and diluted basis. The aggregate consideration for this transfer amounted to USD 32,970,499.20.

As part of the transaction settlement, TIPL agreed to issue preference shares to SIHL. In full and final settlement for the transfer of Shopkirana shares, TIPL will allot 1,04,868 preference shares to SIHL, which represent 2.021% of TIPL's issued share capital on a fully converted and diluted basis. These shares were allotted at a value of USD 314.40 per share.

Following the transfer, SIHL proceeded with a separate investment into TIPL. The primary infusion by SIHL amounted to USD 1,724,169.60. This investment corresponds to 5,484 preference shares of TIPL, representing 0.105% of the issued share capital on a fully converted and diluted basis.

TIPL has passed both directors' and members' resolutions in writing concerning these allotments. The resolutions covered the issuance of the 1,04,868 preference shares to SIHL for the transfer consideration and the allotment of the 5,484 preference shares against the primary infusion.

The completion of this transaction means that Shopkirana ceases to be an Associate Company of SIHL.

On Wednesday, Info Edge (India) Limited saw its stock edge higher, closing at ₹993.55 after gaining 1.74%, which accounted for a rise of ₹17.00. The equity experienced strong trading activity during the session, with over one million shares changing hands.
