Haleos Labs Ltd. announced on March 26, 2026, that its Board of Directors has decided to seek shareholder consent for a resolution through a postal ballot process utilizing electronic means. The resolution concerns the approval of a material related-party transaction involving the issuance of a corporate guarantee in favor of RBL Bank, securing external corporate borrowings for Mahi Drugs Private Limited, a subsidiary of Haleos Labs Ltd.

The company has appointed Central Depository Services (India) Ltd. as the authorized agency to provide a remote e-voting facility for shareholders. Mr. C. Sudhir Babu, a practicing Company Secretary, has been appointed as the scrutinizer for the postal ballot e-voting process.

Shareholders listed in the Register of Members or as Beneficial Owners as of March 27, 2026, are eligible to vote. The postal ballot notice will be dispatched via email to shareholders on March 30, 2026. A newspaper advertisement regarding the ballot will be published on March 31, 2026.
