The Board of Directors reviewed GSEG's application, which sought the change in classification due to the completed structural reorganization. The approvals relate to the Equity Shares of GSEG originally held by Gujarat State Petroleum Corporation Limited and Gujarat State Petronet Limited, which were transferred to GEL.

Following the transfer, GEL now holds a 65.45% stake in GSEG, making GSEG a subsidiary of GEL. Currently, GSEG operates as a Promoter with a holding of 0.14% in the Paidup Equity Share Capital of GEL and is also classified as a Subsidiary of GEL.

The transition required GSEG to confirm several conditions regarding its relationship with GEL and related parties. GSEG provided assurances confirming that neither GSEG nor any associated individuals met specific criteria, including:

  • Holding more than 10% of the total voting rights in GEL.
  • Exercising control over the affairs of GEL, directly or indirectly.
  • Having special arrangements or representation on the Board of Directors of GEL.
  • Acting as a Key Managerial Personnel (KMP) in GEL.

The Board noted that GSEG provided an undertaking confirming compliance with future requirements upon reclassification.

Based on these findings, the Board concluded that GSEG satisfies the necessary conditions and is therefore eligible for reclassification from the 'Promoter and Promoter Group' category to the 'Public' category, subject to required approvals.
