Gaudium IVF and Women Health Ltd Approves Setup of Women Hospital in Lucknow​

Gaudium IVF and Women Health Ltd, formerly known as Gaudium IVF and Women Health Private Limited, announced that its Board of Directors has approved the establishment, development, operation, and management of 'Gaudium Women Hospital, Lucknow.' This decision was made following a meeting held on June 25, 2026.

The hospital will be established in Lucknow, Uttar Pradesh, through a long-term arrangement with the property owner, Mrs. Abhilasha Singh and M/s. Abhilasha Enterprises. The parties involved in this agreement are not related to the company's promoter or promoter group.

Key Terms of the Land Lease Agreement​

The partnership structure for establishing Gaudium Women Hospital involves several significant terms outlined by the Board. The land lease arrangement is set for a period of 30 years, including an initial lock-in period of 15 years, which is renewable based on mutually agreed terms should the company choose to extend it.

Under the agreement, the company is committed to paying the Landowner 10% of the net revenue generated from the Hospital on a monthly basis, in addition to applicable taxes. To secure the arrangement, Gaudium IVF and Women Health Limited will place a security deposit of ₹3,00,00,000 with the Landowner. This deposit will be adjusted against the company's revenue share until it is fully recovered. Upon complete recovery of the security deposit, the company will continue paying the Landowner’s agreed-upon revenue share monthly.

The management agreement grants the company full entitlement to develop, fit out, commission, operate, and manage the hospital premises throughout the lease tenure.

Project Scope and Estimated Cost​

The Board also noted and approved the estimated project cost required for setting up and operationalizing the proposed hospital. This expenditure is capped at ₹15,00,00,000 (Rupees Fifteen Crore Only).

This total projected cost covers development, construction, fit-outs, furnishing, medical infrastructure, plant and machinery, medical equipment, IT infrastructure, commissioning, and other incidental project-related expenses for the hospital. Material changes, termination, or amendments to this agreement will be disclosed as necessary.

Gaudium IVF and Women Health Limited shares shed 1.99%, closing at ₹108.63 today after trading lower by ₹2.21 from the previous session's close. The stock traded within a narrow range throughout the day, reflecting modest movement despite the late-session decline.
