GACM Technologies Approves UK Subsidiary Creation for International Expansion; Discusses Preferential Share Issue​

GACM Technologies Limited, during its Board of Directors meeting held on Thursday, June 25, 2026, approved several strategic corporate decisions aimed at expanding its international presence and addressing capital structure matters. The board sanctioned the incorporation of a Wholly Owned Foreign Subsidiary (WOFS) in the United Kingdom (UK).

The board noted that the WOFS will be a related party to GACM Technologies from its inception. The proposed UK entity is set up to carry out businesses related to Software Development and Information Technologies.

In addition to approving the international venture, the Board reviewed a proposal concerning the issuance of Equity Shares to non-promoters on a preferential basis. This initiative involves a Share Swap mechanism relating to acquisitions in Market Simplified India Limited and WEXL EDU Private Limited.

The management entrusted the Preferential Issue Committee with finalizing the list of allottees and the quantity of the share swap, which is required to be completed within an eight-day period. The Company intends to announce the details of the allottees and the share swap in a subsequent Board Meeting, following necessary approvals from shareholders and relevant authorities.
