
Divine Power Energy Limited Approves Modified Scheme of Amalgamation with Viraj Upkram Private Limited
Divine Power Energy Limited has approved modifications to its ongoing scheme of amalgamation involving Viraj Upkram Private Limited. The Board of Directors considered and sanctioned these revisions during a meeting held on March 19, 2026.The scheme involves the integration of Viraj Upkram Private Limited (the Transferor Company) with Divine Power Energy Limited. A key modification concerns the object clause of the Memorandum of Association (MoA) of the Transferee Company upon the scheme's effective date. The revised document stipulates that the objects of the Transferee Company are substantially similar to those of the Transferor Company. Furthermore, subsequent to the scheme becoming effective, all applicable main objects from the Transferor Company’s memorandum will be incorporated into the Transferee Company’s MoA, provided they do not already exist.
The approved amendments pertain to the incorporation of relevant sub-clauses relating to specific works and properties. These include a plot in Sahibabad, Ghaziabad (U.P.), and a registered office address located at Shop No. 19, Annex Mall in Mumbai, Maharashtra. The modified clause states that the object clause of the Transferee Company is substantially similar to and encompasses the objects of the Transferor Company.
The Board further reviewed and approved the scheme after noting that the modifications do not alter the meaning, intent, commercial understanding, rights, obligations, consideration, or share exchange ratio under the original plan. The amendments also included certain clerical and typographical corrections within the revised Scheme document. These changes were specifically noted on page 4 (Clause 2.2(d)) and page 33 (Clause 17).
The revised Scheme has been approved by the Board of Directors, and it is available for review on the company’s website, www.dpel.in.
