Diensten Tech Limited Approves Preferential Issue of Warrants Worth Rs. 4.58 Crore​

Diensten Tech Limited announced that its Board of Directors held a meeting on April 28, 2026, and approved the preferential issuance of Fully Convertible Warrants to selected promoters and public category investors. The transaction involves the issue of up to 3,98,800 Warrants, aggregating up to Rs. 4,58,62,000 for cash.

Under the approved plan, each Warrant carries the right to subscribe to one Equity Share of face value of Rs. 10 only. The issuance was conducted on a preferential basis at an issue price of Rs. 115 only per Warrant. The total value of the issue is subject to the shareholders' approval.

The total number of Warrants approved for allotment is 3,98,800.

The Board also approved the draft notice of the Postal Ballot for the members of the Company regarding this Preferential Issue.

Diensten Tech Limited noted that the "Trading Window" for trading in the securities of the Company, which had been closed since April 01, 2026, will remain closed.
