Chennai Meenakshi Multispeciality Hospital Clarifies Shareholding Pattern Across Five Quarters

Chennai Meenakshi Multispeciality Hospital Ltd (CMMH) provided detailed clarifications regarding discrepancies and changes in its shareholding pattern for the quarters ended December 31, 2024, March 31, 2025, June 30, 2025, September 30, 2025, and December 31, 2025. The clarifications detail transactions related to the inheritance of shares held by a late promoter and subsequent share transfers within the Promoter Group.

The hospital's ownership structure underwent significant changes following the death of Late Mr. A.N. Radhakrishnan, who was holding 37,57,166 equity shares, representing 50.3% of the total outstanding share capital at the time. These shares were inherited by his surviving legal heirs—his wife, Mrs. R. Gomathi, two sons, and a daughter’s descendants.

Following the successful mediation process for the estate, the legal heirs executed a Memorandum of Settlement on July 31, 2024, stipulating how the shares would be divided:
  • Mrs. R. Gomathi (Wife): 1/5th share.
  • Mrs. Jayanthi Radhakrishnan (Daughter): 1/5th share.
  • Mr. Rakesh Radhakrishnan and Dr. G. Ra. Gokul (Sons): 1/5th share each.
  • Dr. Gautam Srinivas and Dr. Arvind Srinivas K.P (Grandsons from the deceased daughter): 1/10th share each.

The shares were formally transmitted to the legal heirs on December 16 and 17, 2024. This transmission resulted in all the legal heirs who received the shares being classified as Promoters under corporate regulations. As a result of these transmissions, Dr. Gautam Srinivas K.P and Dr. Arvind Srinivas K.P were correctly categorized as Promoters, having been erroneously listed as Public in the initial submission for December 31, 2024.

The hospital's ownership structure continued to evolve through subsequent transactions:
  • March 31, 2025: Dr. G. Ra. Gokul gifted 7,51,333 shares (10.06%) to his wife, Dr. Abhinaya Vijayan. This transaction resulted in Dr. Abhinaya Vijayan also being recognized as a Promoter.
  • June 30, 2025: Mrs. Gomathi gifted 4,08,794 shares (5.47%) to her daughter, Mrs. Jayanthi Radhakrishnan, aggregating the ownership held by the latter.
  • September 30, 2025: The shareholding saw a marginal change due to Dr. Arvind Srinivas K.P purchasing 108 shares from the open market.

The hospital's Promoter Group composition and respective holdings across the five reporting periods are detailed below:
