The corporate landscape of India’s renewable energy sector saw a major development on April 20, 2026. The Competition Commission of India (CCI) has approved a significant proposed restructuring and merger within the Vishakha Group. This move aims to consolidate and integrate Vishakha Renewables Pvt. Ltd.'s (VRPL) diverse business lines into Vishakha Glass Private Limited (VGPL).

The approval of this complex transaction marks a strategic consolidation play. It is set to merge several key operational units, strengthening the market presence of the combined entity. The ultimate merger of VRPL with and into VGPL is the defining outcome of this major corporate action.

Proposed Combination Restructuring Details​

The merger is designed through a structured, multi-step process. The proposed combination initially involves the transfer and vesting of the pipes and mouldings divisions from VRPL to Progressive Pipes Private Limited (PPPL). This transfer is structured as a going concern on a slump sale basis.

Following this, the consolidation extends further through the amalgamation of three entities: Vishakha Renewables 1 Private Ltd. (VR1PL), Vishakha Metals Private Limited (VMPL), and Vishakha Metals 1 Private Limited (VM1PL). These are merged with and into VRPL.

The final, crowning step is the amalgamation of the enlarged VRPL with and into Vishakha Glass Private Limited (VGPL), forming the new, merged entity. These steps collectively constitute the Proposed Combination.

Expanding Scope Across Green Energy Verticals​

The scope of the merged entity spans several high-growth industrial and energy verticals. VRPL’s original activities showcase a robust mix of manufacturing capabilities. They are involved in producing solar system components, such as high-grade potential induced degradation-resistant ethylene vinyl acetate (PID-resistant EVA) encapsulant and back sheet.

Beyond solar materials, the group’s mandate includes manufacturing micro irrigation systems. Furthermore, the combined entity’s interests cover the production of polyvinyl chloride and high-density polyethylene pipes. The group’s product line also includes general plastic products, such as pallets, crates, and big bins.

The merger integrates several specialized entities, each holding a critical niche in the manufacturing supply chain. Vishakha Glass Private Limited (VGPL) specializes in manufacturing solar glasses essential for various solar systems.

Vishakha Renewables Pvt. Ltd. (VRPL) was originally engaged in manufacturing core solar components and various plastic products. It serves as the central coordinating node for the initial amalgamation steps.

Progressive Pipes Private Limited (PPPL) focuses on manufacturing micro irrigation and drip irrigation systems and pipes. Its product range includes PVC, HDPE, and medium-density polyethylene, alongside the trading of granules.

The peripheral companies bring expertise in supporting materials. Vishakha Renewables 1 Private Ltd. (VR1PL) was established primarily to manufacture all types of solar panel components. Vishakha Metals Private Limited (VMPL) handles the manufacturing of aluminium frames for solar panels and related ancillary activities.
