The Competition Commission of India (CCI) has cleared a significant corporate restructuring and combination involving several major players in India's renewable energy and infrastructure sectors. The approval paves the way for the formation of a large 'Merged Entity' that aims to consolidate multiple verticals under one umbrella.

The proposed combination, approved under Section 311, involves Progressive Pipes Private Limited, Vishakha Renewables Private Limited (VRPL), Vishakha Renewables 1 Private Limited (VR1PL), Vishakha Metals Private Limited (VMPL), Vishakha Metals 1 Private Limited (VM1PL), and Vishakha Glass Private Limited (VGPL).

Understanding the Proposed Corporate Consolidation​

The core purpose of the proposed transaction is the comprehensive restructuring of the renewables business unit. Specifically, VRPL is initiating a strategic merger with Vishakha Glass Private Limited.

This complex process involves several sequential steps. First, VRPL will transfer its pipes division and mouldings division to Progressive Pipes Private Limited (PPPL) as a slump sale. Following this, an amalgamation will occur bringing VR1PL, VMPL, and VM1PL into VRPL. Finally, VRPL itself will amalgamate with and into the existing VGPL, forming the 'Merged Entity.'

Strategic Verticals Forming the Merged Entity​

The participating parties operate across key industrial segments, creating a highly diversified portfolio for the new structure.

VRPL is a major manufacturer, specializing in solar system components. Its product range includes high-grade Potential Induced Degradation-resistant Ethylene Vinyl Acetate (PID-resistant EVA) encapsulant, back sheets, micro-irrigation systems, and both PVC and high-density polyethylene pipes.

Support roles are filled by the other key players. VR1PL focuses on manufacturing all types of solar panel components. VMPL is incorporated to manufacture aluminum frames for solar panels and other ancillary activities. VM1PL handles the manufacture of all types of metal components.

Market Presence and Operational Scope​

The merged conglomerate will maintain a robust presence across several critical infrastructure markets.

Vishakha Glass Private Limited (VGPL) contributes its business in manufacturing solar glasses, which are essential components for solar systems. Progressive Pipes Private Limited (PPPL) adds its expertise in manufacturing micro and drip irrigation systems, covering pipes made of PVC, HDPE, and medium-density polyethylene, alongside trading items.

CCI Finds No Competition Concerns​

Crucially, the CCI stated that the proposed transaction does not raise any competition concerns. The commission determined that the combination does not lead to any appreciable adverse effect on competition, irrespective of how the relevant market is defined.

While the transaction is cleared, the regulatory body noted a key outcome. The proposed amalgamation will result in the creation of certain vertical linkages within the solar photovoltaic modules market in India. This structural change is anticipated to consolidate supply chains across multiple related sectors.
