Capri Global Capital Announces Tranche I Public Issue of Secured Non-Convertible Debentures​

Capri Global Capital Limited has announced the Tranche I public issue of secured, rated, listed, redeemable non-convertible debentures (NCDs) aggregating up to ₹5,000 million. The offering comprises a base issue size of ₹1,000 million, supplemented by a green shoe option of ₹4,000 million, designated as the 'Tranche I Issue'.

The NCD issue is structured with an offer coupon rate of up to 9.50% per annum. The credit ratings supporting the issue are 'IVR AA/Positive' by Infomerics Valuation and Rating Limited and 'ACUITE AA | Stable' by Acuité Ratings & Research Limited. Investors have options for multiple tenures, including 24 months, 36 months, 60 months, and 120 months. The issue is scheduled to open on Wednesday, April 15, 2026, and close on Tuesday, April 28, 2026$.

For NCD Holders in Category I, II, III, and IV, the minimum application across all series is ₹10,000 (10 NCDs) and in multiples of ₹1,000 (1 NCD) thereafter. The face value/issue price for all series is ₹1,000 per NCD.

The initial allotment will be on a first come, first serve basis, followed by proportionate allotment post oversubscription.

Utilization of Funds​

At least 75% of the funds raised through this Issue are earmarked for onward lending, financing, and the repayment of interest and principal of the company's existing borrowings. The remaining balance is proposed for general corporate purposes, not to exceed 25% of the amount raised and allotted in the Tranche I Issue.
