C2C Advanced Systems Approves Issuance of Preferential Warrants, Launches ESOP and Addresses CEO Remuneration​

C2C Advanced Systems Limited's Board of Directors held a meeting on Saturday, August 01, 2026, during which several key corporate decisions were deliberated and approved. The matters considered ranged from the potential issuance of new capital instruments to the formulation of an Employee Stock Option Scheme (ESOP) and setting out terms regarding Chief Executive Officer (CEO) remuneration.

These preparatory steps include identifying potential subscribers and carrying out negotiations, documentation, and other ancillary acts necessary for the proposed Preferential Issue, subject to final formal approvals.

The Board also addressed the formulation and implementation of an Employee Stock Option Scheme (ESOP). Following a recommendation from the Nomination and Remuneration Committee, the Board authorized Mr. Sriram Subramanian to liaise with the Consultant assigned to the ESOP scheme. He has been entrusted with necessary support actions to facilitate the engagement and subsequent implementation of the proposed scheme.

In addition to these corporate strategies, the Board reviewed and approved the terms concerning the remuneration payable to the Chief Executive Officer (CEO). Based on input from the Nomination and Remuneration Committee, the company's Board accepted the CEO's request for the remuneration structure. The compensation is scheduled to be considered by the Board on or after March 31, 2027. This determination will be made upon the satisfactory realization of outstanding Trade Receivables, or according to other terms and conditions that the Board deems appropriate in the best interests of C2C Advanced Systems Limited.

The Board Meeting commenced at 11:35 A.M. and concluded its proceedings at 12:25 P.M., covering the aforementioned corporate actions alongside other routine business matters.
