Borosil Limited Board Approves FY26 Financial Results, Plans Rs 250 Crore Fundraising, and Reappoints Statutory Auditors​

Borosil Limited announced key resolutions following its Board of Directors meeting held on May 19, 2026. The board considered and approved the audited financial results for the quarter and year ended March 31, 2026, and recommended the re-appointment of the statutory auditors.

The board also approved plans to raise funds up to Rs 250 crores through various modes and recommended modifications to the 'Borosil Limited - Employee Stock Option Scheme 2020'.

Financial Results and Audit Recommendation​

The board of directors approved the audited financial results (standalone and consolidated) for the quarter and year ended March 31, 2026, along with the corresponding audited financial statements.

In a related development, the company announced that its statutory auditors, M/s. Chaturvedi & Shah LLP, issued audit reports with an unmodified opinion on the audited standalone and consolidated financial results.

The board further recommended the re-appointment of M/s. Chaturvedi & Shah LLP, Chartered Accountants, as the Statutory Auditors of the company for a second term of five consecutive years. This tenure is slated to hold office from the conclusion of the ensuing 16th AGM until the conclusion of the 21st AGM of the company, subject to shareholder approval.

Key Management Personnel and Corporate Funding​

Effective May 19, 2026, the board also approved the appointment of Mr. Bhaunik Shah as the Company Secretary and Compliance Officer, transitioning him from an interim role. He will continue to be designated as a Key Managerial Personnel and form part of the Senior Management Personnel.

On the corporate funding front, the board recommended seeking shareholder approval through an enabling resolution for raising funds up to Rs 250 crores. These funds could be raised through various modes, including but not limited to a further public offer, issuance of American Depository Receipts or Global Depository Receipts, foreign currency convertible bonds, debt issuance, Qualified Institutions Placement, or any other combination permitted under applicable laws.

Additionally, the board, based on the recommendation of the Nomination and Remuneration Committee, considered and approved modifications to the 'Borosil Limited - Employee Stock Option Scheme 2020'.

For comparison, the total assets stood at 1,28,173.55 lakhs as of March 31, 2026, compared to 1,13,099.31 lakhs on March 31, 2025. The total equity stood at 88,692.19 lakhs, up from 80,765.01 lakhs in the previous year.

BOROLTD Stock Price Movement​

On Tuesday, shares of Borosil Limited rallied significantly, gaining 7.20% to close at ₹234.31, rising ₹15.76 from the previous day's close. Trading on 478,777 shares, the move propelled the equity well above its ₹213.73 52-week low, capturing strong investor interest.
