Bikaji Foods International Limited has formalized several key strategic moves aimed at strengthening its international presence and aligning employee incentives. The Board of Directors considered four major developments, including establishing a joint venture in Nepal and approving an investment into a Wholly-Owned Subsidiary (WOS) in the United Arab Emirates (UAE).

The company approved the following corporate decisions during its meeting on August 05, 2026:

  • Approval of a Joint Venture cum Shareholders Agreement with C.G. Savory Corp Private Limited, a company incorporated in Nepal.
  • Approval for an investment up to ₹ 15,00,00,000 into the joint venture, C.G. Bikaji Private Limited, located in Nepal.
  • Approval of the incorporation of a Wholly-Owned Subsidiary in Abu Dhabi, United Arab Emirates.
  • Granting of stock options to eligible employees under the Bikaji Employees Stock Option Scheme 2021 - Scheme I.

Diversification into Nepal via Joint Venture​

BFIL entered into a Joint Venture cum Shareholders Agreement with C.G. Savory Corp Private Limited on August 05, 2026. This agreement is set to establish and operate the joint venture company in Nepal, which will manufacture, trade, and market snacks, namkeen, bhujia, papad, and packaged sweets within the country.

The terms of the Agreement stipulate a 50:50 stake between BFIL and CG for C.G. Bikaji Private Limited. The relationship between C.G. Savory Corp Private Limited and the promoter group of BFIL was noted as non-existent.

The acquisition is planned to be completed in tranches over a period of tentatively ten months.

Establishing UAE Wholly-Owned Subsidiary​

BFIL also approved the incorporation of a Wholly-Owned Subsidiary in Abu Dhabi, United Arab Emirates. This venture is intended to bolster and optimize the company's international supply chain operations, with a specific focus on the Middle East region market.

The proposed subsidiary will be incorporated in the Khalifa Economic Zones Abu Dhabi (KEZAD). The investment into this entity is planned at up to AED 1,00,00,000, and BFIL will hold 100% of the shareholding.

Stock Option Scheme for Employees​

The Board also approved the grant of stock options to eligible employees under the Bikaji Employees Stock Option Scheme 2021 - Scheme I. The scheme involves 1,00,000 stock options granted at an exercise price of ₹ 500 per option.

The vesting structure for these options is detailed as follows:
