BF Utilities Limited Appoints Independent Woman Director, Addresses NSE Compliance Concerns
BF Utilities Limited (BFUL) announced on March 17, 2026, that it has appointed an Additional, Non-Executive Independent Woman Director to the company. The appointment, recommended by the Nomination and Remuneration Committee, is for a period of three consecutive years, effective March 17, 2026, to March 16, 2029, and is subject to shareholder approval via postal ballot.The move comes after the company addressed concerns raised by the National Stock Exchange of India (NSE) regarding non-compliance with Regulation 17(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, specifically related to the composition of the board including failure to appoint an Independent Woman Director. The Board of Directors reviewed the matter and associated fines and reminders issued by the NSE on February 27, 2026, and March 16, 2026.
The NSE had previously informed BF Utilities' promoters of a total fine payable of ₹271,400, inclusive of 18% GST, due to non-compliance with Regulation 17(1) for the quarter ending December 31, 2025. Failure to comply within 10 days could have resulted in the freezing of promoter holdings. The total fine was calculated as ₹230,000 for 46 days of non-compliance, plus GST. The company is required to update payment details on the NEAPS portal.
