Best Agrolife Limited has taken board action regarding a tranche of convertible warrants, following specific warrant holders failing to exercise their conversion options within the stipulated 18-month period. The company's Board of Directors approved the forfeiture of amounts received on these non-exercised warrants as per applicable regulations.

The company had previously allotted 23,43,750 convertible warrants at an issue price of Rs. 640 per warrant. A portion of the subscription amount was reportedly received during the initial subscription process from certain members in 2024. These warrants were set to expire within 18 months from their allotment date.

The Board Meeting approved the forfeiture related to the group of persons listed who failed to exercise their conversion option for these warrants by the deadline of June '26. The decision comes after confirmation that the specified warrants remained unexercised. As a result of this non-exercise, the entitlement of the warrant holders to receive equity shares shall be extinguished. Furthermore, the reservation of 1,17,8750 bonus equity shares originally earmarked for such conversions has been cancelled.

The company noted that the warrants were initially issued at Rs. 640 per warrant. Due to the subsequent subdivision of equity shares, the conversion price for the warrants was proportionately adjusted from Rs. 1640 to Rs. 164 per adjusted warrant or equity share. Warrants are liable to forfeiture if not exercised by warrant holders within the time limit of 18 months from the allotment date.
