AVRO INDIA LIMITED Allots 1,06,090 Equity Shares Following Conversion of Convertible Warrants​

AVRO INDIA LIMITED announced the allotment of 1,06,090 fully paid-up equity shares of the company. The allotment occurred following the exercise of warrants by certain Non-Promoter Warrant Holders, as approved by the company's Board of Directors on April 18, 2026.

The initial warrant allotment previously involved 5,30,451 Convertible Warrants of face value of Rs. 10 each, which were issued at an aggregate issue price of Rs. 127.25 per warrant.

On April 18, 2026, the Company’s Board of Directors approved the allotment of 1,06,090 fully paid-up equity shares. This conversion materialized after several Non-Promoter Warrant Holders exercised their option on 1,06,090 warrants, thereby paying the remaining 75% of the issue price.

Impact on Paid-Up Capital​

Following the allotment, the Paid-Up Equity Share Capital of AVRO INDIA LIMITED increased significantly. The details of the capital structure are as follows:

The newly issued equity shares shall rank pari-passu with all existing equity shares of the Company.

Lapsed Warrants​

The Company also noted that 4,24,361 warrants lapsed. This was due to the failure to receive the balance payment (75%) within eighteen months from the date of the initial warrant allotment. Consequently, the 25% upfront payment received in respect of these lapsed warrants was forfeited, as per regulatory provisions.

AVROIND Stock Price Movement​

On Friday, AVRO INDIA LIMITED shares slipped by 1.59% to settle at ₹129.14. The stock traded on a volume of 26,135 shares, dipping to a day low of ₹128.01 during the session.
