
Athena Global Technologies Acquires Medleymed Healthcare Solutions, Disinvests Subsequently
Athena Global Technologies Limited announced on March 31, 2026, the acquisition of 100% equity shareholding of Medleymed Healthcare Solutions Private Limited. As a result of the acquisition, Medleymed Healthcare Solutions Private Limited became a wholly-owned subsidiary (WOS) of Athena Global Technologies Limited. Subsequently, the company also announced its disinvestment in Medley Medical Solutions Private Limited, also a subsidiary.The acquisition, valued at Rs. 10,000, is considered a related party transaction as Medleymed Healthcare Solutions Private Limited is a step-down subsidiary of Athena Global Technologies Limited. The transaction was conducted at “arm’s length” and within the ordinary course of business.
According to Annexure-1, MedleyMed Healthcare Solutions Private Limited, incorporated on November 14, 2019, operates as a healthcare logistics and pharmaceutical trading unit. Its turnover for FY-2025 was Rs. 44.18 lakhs, Rs. 299.75 lakhs for FY-2024, and Rs. 299.95 lakhs for FY-2023. No specific governmental approvals were required for the acquisition, which is subject to standard compliance under the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The company received Rs. 1,25,33,689 from the sale of Medley Medical Solutions Private Limited. The buyer in this transaction is Medleymed Healthcare Solutions Private Limited, which is associated with the promoter group. This transaction also qualifies as a related party transaction and will be conducted in compliance with applicable provisions of the Companies Act, 2013 and SEBI (LODR) Regulations, 2015.
