Arun Kumar Saraf Notifies Proposed Acquisition of Robust Hotels Limited Shares via Gift​

Mumbai – March 24, 2026 – Arun Kumar Saraf, a promoter of Robust Hotels Limited, has disclosed a proposed acquisition of equity shares in the company through a gift. The notification, submitted to the National Stock Exchange of India Limited and BSE Limited, details the transaction under Regulation 10(5) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

The acquisition involves the transfer of 20,26,520 equity shares from Mrs. Ratna Saraf to Mr. Saraf, representing 11.7196% of the company's capital. The transaction is expected to occur on or before March 31, 2026, and will be executed as a gift, with a value of Nil.

Following the transaction, Mr. Saraf’s shareholding will increase to 20,39,618 shares, representing 11.80% of the total share capital. The rationale for the transfer is described as an inter se transfer by way of gift amongst immediate relatives.

Mr. Saraf’s acquisition is exempt under Regulation 10(1)(a)(i) of the SEBI (SAST) Regulations.
