Alfavision Overseas (India) Limited has approved a significant expansion move by acquiring an equity stake in Alfa Valley Resort & Wellness Private Limited. This acquisition is part of a broader strategy to enter the hospitality and tourism sector in India.

The company acquired 34% of the equity share capital of Alfa Valley Resort & Wellness Private Limited from its promoters. Following the completion of this proposed transaction, Alfavision's aggregate shareholding in Alfa Valley Resort & Wellness Private Limited is set to increase to 74%. This acquisition means the target entity will become a subsidiary of Alfavision Overseas (India) Limited upon formal completion and fulfillment of necessary legal formalities.

The transaction involves a cash consideration of ₹ 34,000 for 3,400 equity shares, each valued at ₹ 10. The acquisition is noted as a Related Party Transaction since the shares were obtained from the company's promoters. However, it has been approved by the Audit Committee and the Board of Directors and is planned to be executed on an arm's length basis, nor classified as a Material Related Party Transaction under Regulation 23 of the SEBI (LODR) Regulations, 2015.

Joint Application for Ultra Mega Tourism Project​

In parallel with the acquisition, Alfavision Overseas has approved the submission of a joint application to the Madhya Pradesh Tourism Board/Government of Madhya Pradesh. This application seeks the allotment of approximately 113 hectares of government land on lease under the Madhya Pradesh Tourism Policy, 2025.

The land allotment process is being pursued by Alfa Valley Resort & Wellness Private Limited in collaboration with Della Resort & Adventure Private Limited. These two companies are slated to serve as the operating and management partner for the proposed Ultra Mega Tourism Project, which estimates an overall investment of approximately ₹ 300 Crore. The project’s realization is subject to receiving all necessary statutory and regulatory approvals, including the land allotment by competent authorities.

The acquisition is intended to facilitate the company's expansion into the hospitality and tourism sector and aligns with a Term Sheet executed with Della Resort & Adventure Private Limited on March 6, 2026, specifically for the development of the Ultra Mega Tourism Project in Madhya Pradesh.
