AABL Strengthens Position in Keralam Following NCLT Approval to Acquire SDF Industries Ltd​

Associated Alcohols & Breweries Limited (AABL), a leading entity in the alco-bev industry, has announced that the National Company Law Tribunal (NCLT), Kochi Bench, approved its resolution plan for the acquisition of SDF Industries Ltd. The approval was granted via an order dated April 16, 2026.

The acquisition of SDF Industries Ltd., a distillery-cum-bottling unit located in Thrissur, Keralam, was approved at a cost of ₹ 30.85 crore. Upon completion of the resolution plan, SDF Industries Ltd. is expected to become a wholly owned subsidiary of AABL.

Strategic Assets of SDF Industries​

SDF Industries Ltd. possesses significant operational capacity and a key location in Kerala. Its facility includes:

  • IMFL Bottling capacity of approximately 3.60 lakh cases per annum.
  • An ENA distillery license capacity of 75 lacs Liters per annum.

The facility is situated on the border of Thrissur and Palakkad districts, placing it in a central and strategically attractive location for distribution across Kerala. The 10-acre facility is well-connected to major airports, including Kochi, Coimbatore, and Calicut, and its proximity to Coimbatore, a key industrial hub, ensures seamless sourcing of packaging materials.

Expansion in the Kerala Market​

AABL has maintained a presence in the Kerala market since 2018, which has since developed into a primary growth market. AABL records sales of approximately 1.5 lakh cases per month and is ranked among the top 3 private players in the state.

The proposed acquisition allows AABL to bring bottling operations in-house within Kerala. This move aims to grant greater control over production, improve efficiency, and support the company’s future growth plans.

Management noted that brands such as Lemount White Brandy, Lemount Black Rum, Jamaican Magic Rum, Mood Maker Brandy, and Mood Maker Orange Vodka, which are currently bottled through third-party arrangements, will be shifted to in-house bottling in the state of Kerala. This shift is anticipated to boost operational capabilities by improving efficiencies and maintaining consistent quality. Furthermore, AABL plans to upgrade the facility with advanced technology to align with its quality standards, with operations targeted to commence by September 2026.
